You represent and warrant that you have all rights, permissions, consents, and authority necessary to provide Customer Data to Novation CRE and to permit us to process it in connection with our services.

You are responsible for the accuracy, quality, legality, and completeness of Customer Data.

Novation CRE may use artificial intelligence, machine learning, automation, analytics, document intelligence, extraction, classification, retrieval, workflow tools, and similar technologies to provide and improve our services.

Outputs generated by such technologies may be based on Customer Data, third-party data, system configurations, user prompts, documents, workflows, and other inputs. You are responsible for reviewing outputs before relying on them, particularly where business, legal, financial, compliance, operational, or property-related decisions are involved.

Unless expressly stated in a separate written agreement, Novation CRE does not provide legal, tax, accounting, investment, brokerage, engineering, architectural, insurance, or regulatory advice.

Our services may interact with third-party platforms, systems, applications, data providers, hosting services, analytics tools, artificial intelligence providers, payment processors, or other vendors.

Your use of third-party services may be subject to separate terms, conditions, privacy policies, fees, and restrictions imposed by those third parties. Novation CRE is not responsible for third-party services, third-party content, or the acts or omissions of third-party providers.

We do not guarantee that integrations with third-party services will remain available, uninterrupted, or unchanged.

Fees, payment terms, billing arrangements, taxes, and renewal terms may be set forth in a separate written agreement, order form, invoice, proposal, or statement of work.

Unless otherwise stated in writing, fees are non-refundable. You are responsible for paying all applicable taxes, duties, levies, or similar governmental charges, excluding taxes based on Novation CRE’s income.

We may suspend or terminate services for unpaid amounts, payment disputes, failed payments, or other billing issues, subject to any applicable written agreement.

You may not use the Novation CRE name, trademarks, logos, or branding without our prior written consent.

If you provide suggestions, comments, ideas, enhancement requests, recommendations, or other feedback about Novation CRE or our services, you grant us a perpetual, worldwide, irrevocable, royalty-free right to use that feedback for any purpose without restriction or compensation to you.

In connection with our services, either party may receive confidential or proprietary information from the other party. Each party agrees to use reasonable care to protect confidential information and to use it only for the purposes for which it was disclosed.

Confidentiality obligations may also be governed by a separate nondisclosure agreement, services agreement, or other written agreement. If there is a conflict, the separate written agreement will control.

To the fullest extent permitted by law, Novation CRE will not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or enhanced damages, including lost profits, lost revenue, lost business opportunities, lost data, loss of goodwill, business interruption, or cost of substitute services, even if advised of the possibility of such damages.

To the fullest extent permitted by law, Novation CRE’s total liability for any claim arising out of or relating to these Terms, our website, or our services will not exceed the greater of: (a) the amount you paid to Novation CRE for the service giving rise to the claim during the three months before the event giving rise to liability; or (b) one hundred dollars ($100), if no amounts were paid.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

Unless otherwise required by applicable law or agreed in a separate written agreement, any legal action or proceeding arising out of or relating to these Terms, our website, or our services will be brought in the state or federal courts located in Texas.

You consent to the personal jurisdiction and venue of those courts and waive any objection based on inconvenient forum or improper venue.

We may update these Terms from time to time. When we make changes, we will update the “Effective Date” above. The updated Terms will become effective when posted unless otherwise stated.

Your continued use of our website or services after updated Terms become effective means you accept the updated Terms.
